1. Key Definitions

• Affiliate: Any company that holds majority ownership or operates under the same ownership or management structure as All B Soft or the User.
• User Data: All information entered by the User or their authorized users while using the platform.
• Documentation: Descriptions of functionality and instructions for using the EasyCollab platform, available on the official website.
• End User: Any individual granted access to the platform by the User within their organization.
• Order Form: An agreement between All B Soft and the User that defines the scope and duration of the service.
• Professional Services: Any additional services such as training, technical support, or customization listed in the Order Form.
• Platform: EasyCollab software that enables team collaboration, task organization, and workflow management.
• Subscription: A license to use the Platform, billed per number of users.
• Subscription Term: The period of service use as defined in the Order Form.

2. Access and Use of the Platform

All B Soft provides access to the platform in accordance with the valid Order Form. The platform’s features may be updated periodically without prior notice, while core functionalities will remain during the active subscription term.

The User receives a non-transferable right to use the platform exclusively for internal business purposes. Affiliates of the User may enter into separate Order Forms under these terms.

Usage Restrictions:

• Granting access to third parties, reselling, modifying the source code, or using the platform for competitive purposes is not permitted.
• Subscriptions may not be shared among users; replacements are allowed in case of employee departure or role changes.
• All B Soft reserves the right to temporarily or permanently suspend users who violate usage policies or pose security risks.

Security and Data:

All B Soft implements advanced safeguards to protect the confidentiality and integrity of user data. Additional conditions related to the protection of personal data apply under the valid Data Processing Annex.

Account Administration:

The User is responsible for managing access rights, including designating administrators and controlling data access. All B Soft may rely on communications from registered administrators.

Integrations:

The User may integrate third-party services with the Platform. All B Soft is not liable for data handling within those external services.

Resellers:

If the subscription is ordered through authorized resellers of All B Soft, payment and warranty terms are governed by the agreement with those partners, while these terms continue to apply to the use of the Platform itself.

3. Warranty Conditions

All B Soft guarantees that the Platform will operate in accordance with official documentation during the active subscription. In case of severe and persistent issues unresolved within 30 days of notice, the User has the right to terminate the agreement and receive a refund for the unused portion of the subscription.

Professional Services will be provided competently and professionally. In case of any issues, the User is entitled to correction or a refund.

4. Payments and Billing

• Every new User is entitled to a 7-day free trial period, during which no payment is required. After the trial ends, the subscription activates automatically.
• Subscription fees are calculated monthly based on the highest number of active end users recorded during the previous calendar month, in accordance with the applicable pricing plan.
• Invoices are issued at the end of each monthly billing cycle, counting from the date the contract was signed.
• The User must pay the invoice within 30 days of issuance.
• All B Soft reserves the right to suspend Platform access if payment is delayed by more than 10 days after the due date and a notice has been issued.
• Prices exclude applicable taxes unless stated otherwise. The User is responsible for all relevant taxes and charges.
• Subscriptions renew automatically each month unless canceled at least 30 days in advance.

5. Termination

• Either party may terminate the agreement with 30 days written notice in case of material breach.
• Upon termination, the User must stop using the service.
• Refunds are only available if termination is due to a fault by All B Soft.
• After contract expiration, the User has 30 days to request data export. After this period, All B Soft may permanently delete the data unless otherwise legally obligated.

6. Confidentiality

All confidential information exchanged between the parties will be protected. This obligation remains in effect after termination of the agreement. Disclosure to third parties is allowed only with written consent or under legal requirement.

7. Intellectual Property

All B Soft retains all rights to the software, design, functionalities, and content of the Platform. The User gains no rights other than those explicitly stated herein.

The User retains ownership of their own data and authorizes All B Soft to use it exclusively for service delivery and improvement, in accordance with applicable data protection regulations.

8. Indemnification

All B Soft will defend the User from third-party claims related to alleged intellectual property violations by the Platform. The User will defend All B Soft if their data or actions cause legal issues to third parties.

9. Liability

Each party’s total liability is limited to the amount paid by the User in the previous 6 months. Indirect damages are excluded unless in cases of willful misconduct, gross negligence, or fraud.

10. Legal Compliance

The User confirms that their use of the platform will not result in violations of sanctions, export laws, or other applicable legal restrictions.

11. Final Provisions

• Governing Law: The laws of the Republic of Serbia apply. Jurisdiction lies with the courts of Novi Sad.
• Notices: Delivered electronically or to the address stated in the Order Form.
• Relationship of the Parties: This agreement does not establish a partnership, agency, or joint venture.
• Force Majeure: Neither party is liable for delays caused by extraordinary circumstances beyond their control.
• Assignment: Allowed only with prior written consent, except in cases of company mergers or acquisitions.

These terms constitute the entire agreement between All B Soft and the User regarding the use of the EasyCollab platform and supersede all prior written or oral agreements.
